TERMS OF SERVICE

  1. ACCEPTANCE OF TERMS 

These Terms of Service ("Terms") govern your access to and use of the websites innision.com and innision.es (the "Sites") operated by Innision Inc. ("Innision," "we," "us," or "our").

By accessing or using our Sites, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Sites. 

These Terms apply to users in the United States and Latin America. For users in Spain and Europe, please refer to the Innision S.L. Terms and Conditions. 

  1. CHANGES TO TERMS 

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Sites with a new "Effective Date." Your continued use of the Sites after changes become effective constitutes acceptance of the modified Terms. 

  1. USE OF OUR SITES 

3.1 Eligibility 

You must be at least 18 years old to use our Sites. By using our Sites, you represent and warrant that you meet this age requirement. 

3.2 License to Use 

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Sites for personal and business purposes. 

3.3 Prohibited Conduct

You agree not to: 

Violate any applicable laws or regulations 

Infringe on any intellectual property or other rights 

Use the Sites for any fraudulent or unlawful purpose 

Interfere with or disrupt the Sites or servers 

Attempt to gain unauthorized access to any portion of the Sites 

Use any automated systems (bots, scrapers) without our written permission 

Transmit viruses, malware, or other harmful code 

Collect or harvest personal information about other users 

Impersonate any person or entity 

Engage in any activity that could damage our reputation or business 

3.4 User Content 

If you submit, post, or transmit any content to our Sites ("User Content"), you grant us a worldwide, non exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute such User Content in connection with our business operations. 

You represent and warrant that: 

You own or have the necessary rights to your User Content 

Your User Content does not violate any third-party rights 

Your User Content does not contain illegal, harmful, or offensive material 

  1. INTELLECTUAL PROPERTY RIGHTS 

4.1 Our Property 

The Sites and their entire contents, features, and functionality (including all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Innision, its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. 

4.2 Trademarks 

The Innision name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Innision or its affiliates. You may not use such marks without our prior written permission.

4.3 Restrictions 

You may not: 

Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Sites 

Remove or alter any copyright, trademark, or other proprietary notices 

Use any content from the Sites for commercial purposes without our written permission 

4.4 Copyright Infringement Claims 

If you believe that content on our Sites infringes your copyright, please notify us with the following information: 

  1. Physical or electronic signature of the copyright owner or authorized representative 2. Description of the copyrighted work claimed to have been infringed 
  2. Description of where the allegedly infringing material is located on the Sites 
  3. Your contact information (address, phone number, email) 
  4. A statement that you have a good faith belief that the use is not authorized 
  5. A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

  1. DISCLAIMERS 

5.1 "As Is" Basis 

THE SITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: 

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement Warranties that the Sites will be uninterrupted, secure, or error-free 

Warranties regarding the accuracy, reliability, or completeness of content

5.2 No Professional Advice 

Content on the Sites is for general informational purposes only and does not constitute professional advice. You should not rely solely on information from the Sites when making decisions and should seek appropriate professional advice. 

5.3 Third-Party Content 

We do not endorse, warrant, or assume responsibility for any third-party content, products, or services accessible through or advertised on our Sites. 

  1. LIMITATION OF LIABILITY 

TO THE MAXIMUM EXTENT PERMITTED BY LAW: 

6.1 Exclusion of Damages 

IN NO EVENT SHALL INNISION, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING: 

Loss of profits, revenue, or business 

Loss of data or information 

Business interruption 

Loss of goodwill 

This applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. 

6.2 Limitation of Liability 

TO THE EXTENT NOT PROHIBITED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITES SHALL NOT EXCEED THE GREATER OF: 

$100 USD, OR 

The amount you paid us in the 12 months preceding the claim 

6.3 State Law Variations 

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. 

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Innision, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to: 

Your use of the Sites 

Your violation of these Terms 

Your violation of any rights of another party 

Your User Content 

  1. THIRD-PARTY WEBSITES AND SERVICES 

Our Sites may contain links to third-party websites or services. We do not control and are not responsible for: The content, privacy policies, or practices of third-party sites 

Any damages or losses arising from your use of third-party sites 

Your use of third-party sites is at your own risk and subject to their terms and conditions. 9. PRIVACY 

Your use of our Sites is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices. 

  1. TERMINATION 

10.1 Termination by Us 

We may terminate or suspend your access to the Sites immediately, without prior notice or liability, for any reason, including if you breach these Terms. 

10.2 Effect of Termination 

Upon termination: 

Your right to use the Sites will immediately cease 

Any provisions that by their nature should survive termination will survive (including disclaimers, limitations of liability, indemnification) 

  1. DISPUTE RESOLUTION 

11.1 Governing Law 

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States,

without regard to its conflict of law provisions. 

11.2 Jurisdiction and Venue 

You agree that any legal action or proceeding arising from or related to these Terms or the Sites shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of these courts. 

11.3 Informal Resolution 

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@innision.com. We will try to resolve the dispute informally within 60 days. 

11.4 Time Limitation 

You agree that any claim arising from or related to the Sites or these Terms must be filed within one year after the claim arose; otherwise, the claim is permanently barred. 

11.5 Class Action Waiver 

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. 

  1. GENERAL PROVISIONS 

12.1 Entire Agreement 

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Innision regarding the Sites and supersede all prior agreements. 

12.2 Severability 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. 

12.3 Waiver 

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right under these Terms does not constitute a waiver of that right. 

12.4 Assignment 

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.

12.5 Force Majeure 

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. 

12.6 Export Controls 

The Sites may be subject to U.S. export control laws. You agree to comply with all applicable export and re export control laws and regulations. 

12.7 Government Users 

If you are a U.S. Government user, the Sites are "Commercial Items" as defined in 48 C.F.R. § 2.101, and you have only those rights as provided in these Terms.
